Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Flecks Capital (the “Service”), operated by Flecks Capital LLC(“Flecks Capital,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Not Financial Advice

Flecks Capital provides historical statistical analysis of publicly available market data (gap fills, streak patterns, and related metrics) for informational and educational purposes only. Nothing on the Service constitutes investment, financial, legal, or tax advice, or a recommendation to buy, sell, or hold any security or financial instrument. Past performance and historical patterns are not indicative of future results. You are solely responsible for your own trading and investment decisions, and you should consult a licensed financial advisor before making any investment decision.

2. Accounts

You must provide accurate information when creating an account and are responsible for maintaining the security of your login credentials. You are responsible for all activity that occurs under your account. We use a third-party authentication provider (Clerk) to manage sign-in; see our Privacy Policy for details.

3. Subscriptions & Billing

Flecks Capital offers a free tier and a paid “Pro” subscription tier. Paid subscriptions are billed in advance on a recurring monthly basis through our payment processor, Stripe, and automatically renew until cancelled.

• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
• Fees are non-refundable except where required by law.
• We may change subscription pricing with advance notice; continued use after a price change constitutes acceptance.
• We do not store your payment card details — all payment processing is handled directly by Stripe.

4. Market Data

Price and volume data displayed on the Service is sourced from third-party data providers (including Yahoo Finance) and may be delayed, incomplete, or inaccurate. We do not guarantee the accuracy, completeness, or timeliness of any data displayed and are not liable for any losses arising from reliance on that data.

5. Acceptable Use

You agree not to:

• Attempt to reverse-engineer, scrape, or resell data or functionality from the Service without permission
• Use automated means to access the Service beyond your own account's normal use
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for any unlawful purpose

6. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

7. Limitation of Liability

To the fullest extent permitted by law, Flecks Capital and its owners, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or trading losses, arising from your use of or inability to use the Service, even if advised of the possibility of such damages.

8. Termination

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. You may stop using the Service and delete your account at any time.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be indicated by updating the “Last updated” date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

10. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.
